Welcome to Udaybharat Mart, a trusted e-commerce and doorstep delivery platform proudly built in Varanasi, India ("Company," "we," "our," or "us").

These Terms and Conditions ("Terms," "Agreement") govern your access to and use of our website, mobile application, and all associated online and offline services (collectively referred to as "Platform" or "Services").

By accessing or using our Platform, you ("User," "Customer," or "you") acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our Privacy Policy. If you do not agree with any provision of these Terms, please do not use our Services.

All rights, control, and intellectual property related to Udaybharat Mart are owned exclusively by the Company. The Company reserves all rights to modify, suspend, or discontinue the Platform or any part thereof at its sole discretion.

2. Eligibility & Account Responsibility

To use the Platform, you must be at least 18 years of age and legally competent under Indian law.

By creating an account, you represent and warrant that the information provided is accurate, complete, and current. You are responsible for maintaining the confidentiality of your login credentials, including your password and OTP.

Udaybharat Mart shall not be held responsible for any unauthorized access, loss, or damage arising from your failure to secure your account. Users are encouraged to use strong passwords and avoid sharing account details with anyone.

3. Scope of Services

Udaybharat Mart provides an online marketplace where Users can browse, order, and receive delivery of groceries, food items, and other essential goods. Services may include home delivery, express delivery, offers, and digital payment options.

The Company reserves the right to add, modify, or withdraw any category of products, pricing, offers, or service features without prior notice. Product images are for illustration purposes only; actual products may vary.

4. Pricing, Payments & Refunds

All prices displayed are inclusive or exclusive of taxes as per applicable law. Prices may change at any time due to market or supply variations.

Payments are accepted through UPI, debit/credit cards, wallets, or cash on delivery (COD). All online payments are processed securely by third-party gateways. In case of transaction failure, duplicate payment, or delay, you must contact the payment gateway directly.

Refunds are initiated only for:

• Verified cases of non-delivery or damaged goods
• Orders cancelled by Udaybharat Mart
• Incorrect charges proven by transaction records

Refunds will be credited to the original payment source within a reasonable period. The Company's decision on refund eligibility is final.

5. Order Acceptance & Cancellation

All orders are subject to acceptance by Udaybharat Mart. Upon placing an order, a confirmation message will be sent to your registered mobile number or email.

The Company reserves the right to reject or cancel any order without prior notice in case of:

• Stock unavailability
• Technical or pricing errors
• Fraudulent or suspicious transactions
• Violation of platform policies

Udaybharat Mart may also cancel an order partially if some items are unavailable. Users will be notified of such changes.

6. Delivery & Risk of Loss

Delivery timelines are estimates and may vary due to factors beyond control such as traffic, weather, or logistic delays. Udaybharat Mart endeavors to ensure timely delivery through its verified partners.

Risk of loss or damage to goods passes to the customer once delivery is completed at the specified address or accepted by an authorized recipient. Delivery partners are independent contractors, and Udaybharat Mart is not liable for their delay, negligence, or misconduct.

7. Returns, Replacements & Quality

We ensure the highest quality standards through vendor checks and timely delivery. However, if you receive an expired, damaged, or missing item, please report it within 24 hours of delivery.

Complaints raised after 24 hours may not be eligible for refund or replacement. All claims will be subject to investigation and verification by the Company.

Udaybharat Mart acts as an intermediary platform and does not manufacture goods. Responsibility for product quality lies with the vendor or manufacturer.

8. User Obligations

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

• Create fake accounts or impersonate another person
• Upload false, misleading, or offensive content
• Tamper with delivery operations or logistics
• Misuse promotional offers, coupons, or referral programs
• Harass, abuse, or threaten delivery partners or employees

Violation of these obligations may result in account suspension, legal action, or permanent ban.

9. Employee, Vendor & Partner Liability Disclaimer

All Udaybharat Mart employees, vendors, and delivery partners operate under written agreements and policies. However, if any such individual engages in misconduct, fraud, theft, or unauthorized data use, the individual shall be personally and solely liable, not the Company.

Udaybharat Mart shall not be responsible for damages, loss, or legal claims arising from independent actions of third-party partners or employees acting beyond company authorization.

10. Indemnity

You agree to indemnify, defend, and hold harmless Udaybharat Mart, its owners, directors, employees, and affiliates against all claims, damages, and losses (including legal fees) arising from:

• Violation of these Terms
• Misuse of the Platform or Services
• Fraudulent activities or chargebacks
• Misrepresentation or unlawful conduct

This indemnity shall survive even after account termination.

11. Limitation of Liability

To the maximum extent permitted by law, Udaybharat Mart's total liability for any claim shall not exceed:

• The order value involved, or
• INR 1,000 (Rupees One Thousand only), whichever is lower.

Udaybharat Mart is not liable for indirect, incidental, or consequential damages such as loss of profits, goodwill, or business interruptions.

12. Intellectual Property

All text, graphics, designs, trademarks, logos, and software used on the Platform are the exclusive intellectual property of Udaybharat Mart. Unauthorized copying, modification, or commercial use of content without written permission is strictly prohibited and may result in civil or criminal prosecution.

13. Suspension & Termination

Udaybharat Mart reserves the right to suspend, restrict, or terminate user accounts at any time without notice if:

• Terms or laws are violated
• Fraudulent or abusive activity is detected
• Misuse of offers or systems occurs

In such cases, rewards, cashback, and wallet balances may be forfeited. The Company may also pursue legal action.

14. Force Majeure

The Company shall not be liable for non-performance or delay due to reasons beyond its control, including natural disasters, strikes, internet outages, government restrictions, or cyberattacks.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject exclusively to the jurisdiction of the competent courts of Varanasi, Uttar Pradesh.

16. Dispute Resolution

In case of a dispute, you must first contact info@udaybharatmart.com with complete details. The Company will attempt to resolve the issue amicably within 30 days.

If unresolved, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Varanasi. The sole arbitrator shall be appointed by Udaybharat Mart, and the decision shall be final and binding.

17. Modification of Terms

Udaybharat Mart reserves the right to modify, revise, or update these Terms at any time. Updates will be posted on the Platform, and continued use implies acceptance of the new Terms.

18. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

19. Waiver

Any failure or delay by Udaybharat Mart to enforce its rights under these Terms shall not constitute a waiver of those rights.
